Conditions d’utilisation
1. Who we are and what this document is
1.1. The website umamo.app, the application app.umamo.app and all subdomains and addresses at which restaurant menus are opened (together, the "Site" and the "Service") are operated by 2 Code Solutions Ltd., UIC 207500451, e-mail office@umamo.app ("UMAMO", "we"/"us"). The Service is provided under a license from its rights holder (Section 12).
1.2. These Terms of Use (the "Terms") constitute an agreement between UMAMO and everyone who visits the Site or uses the Service. By visiting the Site, registering a restaurant, opening a menu via a QR code or placing an order, you confirm that you have read the Terms, understood them and agree to them. If you do not agree, do not use the Site or the Service.
1.3. The Privacy Policy (umamo.app/privacy) and the Accessibility Statement (umamo.app/accessibility) form an integral part of the Terms. In the event of a conflict between these documents, the Privacy Policy prevails with respect to matters of personal data.
1.4. These Terms are written in the masculine singular solely for brevity and apply equally to everyone.
1.5. Payment through Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Subscription orders and payments are processed by Paddle.com (Paddle.com Market Limited and its affiliates). As the seller (Merchant of Record) for all our orders, Paddle accepts the payment, issues the invoice, calculates and remits taxes, answers payment questions and processes refunds. The purchase of a subscription is also governed by the Paddle Buyer Terms (paddle.com/legal/checkout-buyer-terms). The Refund Policy (umamo.app/refund) also forms an integral part of the Terms.
2. Definitions
- "Restaurant" or "Customer" — a business (café, restaurant, bar, etc.) that has registered an account with the Service in order to manage its menu.
- "Restaurant User" — a person who signs in to the dashboard on behalf of a Restaurant: the owner, a manager or an employee.
- "Guest" — anyone who opens a Restaurant's menu in the Service (via a QR code, a link or a menu installed on a phone), places an order, leaves a review or subscribes to the Restaurant's notifications.
- "Visitor" — anyone who visits the Site, including Restaurant Users and Guests.
- "Restaurant Content" — everything a Restaurant uploads or creates in the Service: names and descriptions of dishes, prices, photos, logo, texts about the venue, allergens, kashrut information, announcements, replies to reviews, as well as the files from which a menu is imported (photos of a paper menu, PDF, Word, Excel).
- "AI Materials" — draft descriptions, translations, selected photos and other materials that the Service generates automatically at a Restaurant's request.
- "Guest Data" — information that Guests submit in a Restaurant's menu: name, phone number, delivery address, order details, review, subscription to notifications.
- "Plan" — a Service pricing package with specific features and limits.
3. Who may use the Service
3.1. Only persons over 18 years of age with full legal capacity may register a Restaurant and sign in to the dashboard, and only for the purpose of managing the menu of a venue that they lawfully manage or at which they lawfully work. By registering a Restaurant, you confirm that you are authorized to act on its behalf and to bind it to these Terms.
3.2. A Guest may view a menu without registration and without age restrictions. Ordering alcohol is available only to persons over 18, and the Restaurant is responsible for verifying age upon handover.
3.3. The Service is intended for business users. If in any particular case a Customer is deemed a "consumer" under the Consumer Protection Law, 5741-1981, the mandatory provisions of that law apply to them and prevail over any conflicting provision of the Terms.
4. Restaurant account
4.1. When registering, you must provide accurate and complete information about the venue and the contact person and keep it up to date. The Restaurant is responsible for ensuring that the account data, including the name, address, phone number, opening hours and kashrut information, is true and accurate.
4.2. Login credentials are personal. The Restaurant is responsible for everything done in the account using its credentials and must notify us immediately at office@umamo.app of any suspected unauthorized access. The Restaurant creates access for its employees itself and is responsible for their actions.
4.3. We may refuse registration or close an account if the information provided is inaccurate, if the venue does not exist, or if the account is used for purposes unrelated to managing a menu.
5. Trial period
5.1. A new Restaurant receives the selected Plan free of charge for 30 days from registration. No card or other payment method is required for the trial period.
5.2. At the end of the trial period, if the Plan has not been paid for, the account switches to "read-only" mode: the published menu remains available to Guests, while editing and paid features are locked until payment. The Restaurant's data is retained in accordance with Section 16.
5.3. The trial period is granted once per venue. We may change the trial period terms for new registrations; this does not affect a trial period that has already started.
6. Plans, prices and payment
6.1. The current Plans, their features, limits and prices are published on the Site on the pricing page and in the dashboard. Prices are stated in New Israeli Shekels (₪, ILS) exclusive of VAT and other taxes; the applicable tax (including Israeli VAT, מע״מ) is calculated and added by Paddle at checkout based on the Customer's location, and the total amount including tax is shown before payment. If the Customer is a consumer, the price is displayed to them inclusive of VAT in accordance with section 17A of the Consumer Protection Law.
6.2. Payment is made in advance for each month by bank card or by any other method offered by Paddle. The subscription renews automatically every month until the Restaurant cancels it. For each payment, Paddle, as the seller, sends an invoice and a receipt to the Restaurant's e-mail address.
6.3. An upgrade to a higher Plan takes effect immediately, and the difference for the remaining period is prorated. A downgrade to a lower Plan takes effect from the next billing period; if the Restaurant's current content exceeds the limits of the new Plan, the excess switches to "read-only" mode but is not deleted.
6.4. We may change the prices and contents of the Plans by notifying the Restaurant by e-mail and in the dashboard at least 30 days in advance. The new price applies from the first billing period following the notice; a period that has already been paid for does not become more expensive. If the Restaurant does not agree to the change, it may cancel the subscription before the change takes effect.
6.5. Special offers (for example, a discount for early-adopter venues) apply on the terms stated when they are published and cannot be combined with other discounts unless otherwise stated.
6.6. We do not charge any commission on Guest orders and do not take part in settlements between a Guest and a Restaurant. The Service does not accept Guest payments for food.
6.7. If a recurring charge fails, Paddle retries it and we send a reminder by e-mail. If payment is not received within 7 days after the end of the paid period, the account switches to "read-only" mode (clause 5.2); if payment remains outstanding for more than 90 days, we may close the account in accordance with Section 16.
7. Subscription cancellation and refunds
7.1. The Restaurant may cancel the subscription at any time — in the dashboard (the "Plan" section), via the link in Paddle's payment e-mail, by e-mail to office@umamo.app, or by any other means provided by law for cancelling a continuing transaction. We confirm the cancellation by e-mail within 3 business days.
7.2. Cancellation takes effect at the end of the paid month; no further charges are made.
7.3. When and how much money is refunded is described in the Refund Policy (umamo.app/refund), which forms part of the Terms. Refunds are processed by Paddle using the same method by which the payment was made.
7.4. After cancellation, the Restaurant may export its menu (Section 16), and the menu remains available to Guests until the end of the paid period.
8. Restaurant Content
8.1. Rights remain with the Restaurant. Everything the Restaurant uploads or creates in the Service belongs to it. The Restaurant grants UMAMO a non-exclusive, royalty-free, worldwide license to store, copy, process, translate, transform, display and transmit Restaurant Content to the extent necessary for the operation of the Service: displaying menus to Guests, creating AI Materials, translations, print versions, backups, previews and technical support. The license remains in effect while the Content is in the Service and terminates upon its deletion, except for backups, which are deleted within the periods set out in Section 16.
8.2. Responsibility for Content. The Restaurant warrants that it holds all rights to the materials it uploads (including photos of dishes, logo and texts) and that the Restaurant Content:
- does not infringe copyright and related rights (Copyright Law, 5768-2007), trademark rights, trade secrets or any other third-party rights;
- does not contain defamation (Prohibition of Defamation Law, 5725-1965), insults, incitement, pornography, discrimination or any other unlawful content;
- does not mislead Guests as to the composition of dishes, prices, allergens, kashrut, origin of products, opening hours or ordering terms;
- complies with the requirements for food labeling and presentation established by the Ministry of Health, the Consumer Protection Law (including the obligation to display the full price including VAT and the obligation to indicate allergens) and any other rules applicable to food service establishments;
- does not contain personal data of third parties without a lawful basis.
8.3. Prices and allergens are the Restaurant's sole responsibility. The Service provides tools for indicating prices, allergens and kashrut status, but the accuracy and completeness of this information is the sole responsibility of the Restaurant. The Restaurant must check it before publication and update it whenever anything changes.
8.4. AI Materials are a draft, not fact. Automatically generated descriptions, translations, selected photos and data recognized from a menu file may contain errors, inaccuracies and omissions, including in allergens and prices. The Restaurant must review AI Materials before publication and bears full responsibility for their content after publication, in the same way as for its own Content. Rights to AI Materials included in the menu pass to the Restaurant to the extent permitted by law; UMAMO makes no claim to them. Stock photos selected by the Service are provided under the licenses of their rights holders, and the Restaurant uses them within the scope of those licenses.
8.5. Removal and blocking. We do not review Restaurant Content in advance, but we may hide or remove Content and restrict an account if we receive a substantiated complaint or ourselves discover a violation of the law or the Terms — where possible, after warning the Restaurant and giving it a reasonable period to remedy the issue. Please send complaints about Content to office@umamo.app, stating the page address and the nature of the violation.
8.6. Backups. The Service creates copies of menus and allows them to be restored, but the Restaurant must keep its own source files and photos. We do not guarantee the recovery of data deleted by the Restaurant.
9. Guests: menus, orders, reviews, notifications
9.1. The menu is the Restaurant's offer. Everything a Guest sees in the menu — dishes, prices, descriptions, allergens, kashrut, opening hours, delivery terms — is posted by the Restaurant and relates to it. UMAMO provides only the technology platform and is not a party to the transaction between the Guest and the Restaurant; it does not sell, prepare or deliver food.
9.2. Orders. By submitting an order through the menu, the Guest makes an offer to the Restaurant. The contract is concluded between the Guest and the Restaurant when the Restaurant confirms the order. The Restaurant is responsible for accepting the order, preparation, the quality and safety of the food, the pickup or delivery time, calculation of the price, payment and all of the Guest's rights as a consumer, including the right to cancellation and refund. Claims regarding an order should be directed to the Restaurant using the contact details shown in the menu.
9.3. Order data. The Guest provides an accurate name, phone number and delivery address (if delivery is required). This data is transferred to the Restaurant and processed by it as the data controller (Section 10). The Service stores it solely so that the Restaurant can fulfill the order.
9.4. Reviews. A Guest may leave a rating and a review of the venue. A review must be honest, based on the Guest's own experience, and free of defamation, insults, advertising, personal data of third parties and unlawful content. By leaving a review, the Guest permits the Restaurant and UMAMO to store and display it in the Service. The Restaurant sees all reviews and may reply to them; the Service may offer a Guest who has left a high rating the option to also post the review on Google, at the Guest's discretion. We may remove a review that violates this clause.
9.5. Notifications from the Restaurant. A Guest may subscribe to the Restaurant's notifications (about promotions, events, new dishes) — by installing the menu on a phone or via a separate subscription. Subscription is always voluntary, separately confirmed by the Guest, and may be cancelled at any time in the phone or browser settings or via the link in the message. The sender of the notifications is the Restaurant, which is responsible for their content and for compliance with section 30A of the Communications (Telecommunications and Broadcasting) Law (the "Spam Law"). UMAMO does not send its own advertising to Guests.
9.6. Installing the menu on a phone. A menu can be added to the home screen as an app. This is not an app from the App Store or Google Play but a web page, and its operation depends on the browser and the device settings.
10. Personal data and data processing
10.1. How we process the personal data of Visitors, Restaurant Users and Guests is described in the Privacy Policy, which forms part of the Terms.
10.2. Roles under the Protection of Privacy Law, 5741-1981 (as amended by Amendment No. 13, in force since 14.08.2025), and under the EU General Data Protection Regulation (GDPR), to the extent it applies to UMAMO. With respect to Guest Data, the Restaurant is the database controller ("בעל השליטה במאגר"; controller), and UMAMO is the holder (processor) ("מחזיק"; processor) acting on the Restaurant's behalf; this Section 10 constitutes a data processing agreement under Article 28 GDPR. With respect to the data of the Restaurant's account and of Restaurant Users (contact details, logins, payments), UMAMO is the controller. Payment data (card number, etc.) is received and processed by Paddle as an independent controller; UMAMO neither sees nor stores it.
10.3. UMAMO's obligations as processor. We:
- process Guest Data only for the operation of the Service and on the Restaurant's documented instructions as reflected in the Service settings, and do not use it for our own purposes, sell it or transfer it to third parties, except to subprocessors under clause 10.5;
- apply security measures in accordance with the Protection of Privacy Regulations (Data Security), 5777-2017, including access control, encryption in transit and at rest, access logs and automatic sign-out from the dashboard after inactivity;
- notify the Restaurant of a serious security incident affecting its data without undue delay after becoming aware of it, and assist in notifying the Privacy Protection Authority where required;
- help the Restaurant respond to Guest requests for access to, correction and deletion of data (sections 13–14 of the Law) — the relevant tools are available in the dashboard, and upon request we carry out the export or deletion ourselves;
- upon termination of the agreement, delete or return Guest Data within the periods set out in Section 16;
- ensure that our employees and subprocessors who have access to the data are bound by a confidentiality obligation.
10.4. The Restaurant's obligations as controller. The Restaurant:
- collects Guest Data only to fulfill orders, respond to reviews and send notifications to which the Guest has subscribed, and does not use the Service to collect any other data;
- ensures that Guests are notified in accordance with section 11 of the Law: the Service shows the Guest a standard notice when ordering and subscribing; if the Restaurant wishes to collect anything beyond the standard, it is itself responsible for the lawful basis and the notice;
- responds to Guest requests for access to, correction and deletion of their data within the time limits set by law;
- when sending notifications, complies with section 30A of the Communications Law: only with explicit consent, identifying the sender and providing an option to unsubscribe in every message;
- notifies us if it receives a demand from a supervisory authority concerning data in the Service;
- determines on its own whether it needs to register a database, appoint a privacy protection officer or take any other action required by law, based on the volume and nature of its data.
10.5. Subprocessors and transfers abroad. To operate the Service, we use cloud providers (hosting, database, file storage, e-mail delivery, generation of AI Materials, push notifications), as well as the Service's rights holder, which, on our instructions, carries out its technical development and maintenance. Some of them store and process data outside Israel. We transfer data only to countries that ensure a level of protection no lower than that of Israel, or on the basis of contractual undertakings by the recipient providing equivalent protection, as required by the Protection of Privacy Regulations (Transfer of Data to Databases Abroad), 5761-2001. For data subject to the GDPR, we rely on European Commission adequacy decisions (including the decision regarding Israel) or EU standard contractual clauses. The categories of subprocessors are listed in the Privacy Policy (Section 4); the Restaurant may obtain the current list on request to office@umamo.app. We notify the Restaurant in advance of any replacement of a subprocessor that processes Guest Data; the Restaurant may object and, if the objection cannot be resolved, cancel the subscription under Section 7.
10.6. Data sent to AI. To create AI Materials, we transfer only Restaurant Content (menu texts and files, photos) to a third-party model provider. Guest Data is not transferred for AI processing. The providers we use undertake not to train models on the data transferred to them.
10.7. Cookies and analytics. The Site uses necessary cookies for sign-in, language, theme and the Guest's cart, as well as anonymized menu view statistics for the Restaurant. Details and ways to manage them are set out in the Privacy Policy.
11. Prohibited conduct
When using the Site and the Service, it is prohibited to:
11.1. violate the Computers Law, 5755-1995: gain access to other people's accounts, circumvent security measures, interfere with the operation of the Service, or introduce malicious code;
11.2. automatically collect data from the Site and from menus (scraping, bots, parsers), except for ordinary indexing by search engines;
11.3. copy, modify, decompile or reproduce the Service, its templates, design and code, or create derivative products or competing services based on it;
11.4. resell, rent out or provide access to the Service to third parties, other than the Restaurant's own employees; manage in a single account the menus of venues that do not belong to the Customer without our written consent;
11.5. use the Service or AI Materials to create unlawful, defamatory, discriminatory or misleading content, or abuse AI quotas (bulk generation not for one's own menu);
11.6. impersonate another person or venue, or use third-party trademarks and names without authorization;
11.7. send unsolicited messages through the Service, or use Guest Data for purposes to which the Guest has not consented;
11.8. load the Service in a way that disrupts its operation for other Customers (stress tests, DoS, etc.);
11.9. use the Service for any activity prohibited by the law of Israel or of the country in which the Restaurant is located.
In the event of a violation of this section, we may immediately restrict or close the account and claim compensation for damages.
12. UMAMO's intellectual property
12.1. The Service — software, code, databases, menu templates and themes, interface design, Site texts, illustrations, the UMAMO trademark and logo, and the domain name umamo.app — belongs to the rights holder Vladi Solo (Israel) and is provided to UMAMO under a license agreement that grants UMAMO the right to sell subscriptions to the Service and to provide the Service to Customers in its own name. The Service is protected by copyright and trademark laws and other rules.
12.2. For the term of the subscription, the Restaurant receives a limited, non-exclusive, revocable and non-transferable license to use the Service to manage the menu of its venue. No rights to the Service other than this license pass to the Restaurant.
12.3. All menus, including print versions, carry the attribution "Powered by UMAMO.app". It may not be removed, hidden or modified on any Plan unless otherwise agreed in writing.
12.4. We may use any comments and suggestions for improving the Service that you send us without restriction and without payment; the author's personal data is not disclosed in doing so.
13. Availability and quality of the Service
13.1. We strive to keep the Service available around the clock but do not guarantee uninterrupted or error-free operation. There may be interruptions for scheduled maintenance (we give advance notice of significant ones in the dashboard), as well as outages for reasons beyond our control: failures of cloud providers, communication networks or Guests' devices, attacks, force majeure.
13.2. We may change, add and remove features of the Service. If a change substantially reduces the capabilities of a paid Plan, we give at least 30 days' notice, and the Restaurant may cancel the subscription with a refund for the unused period.
13.3. If we decide to discontinue the Service entirely, we will give at least 60 days' notice, refund payment for the unused period and provide the opportunity to export the menu.
13.4. Support is provided by e-mail at office@umamo.app on business days. We respond within a reasonable time; a guaranteed response time (SLA) is not included in the standard Plans.
13.5. The Service and menus include a built-in accessibility toolbar and are developed in accordance with the Equal Rights for Persons with Disabilities (Service Accessibility Adjustments) Regulations, 5773-2013, and Israeli Standard IS 5568 (Level AA). Details and a contact for accessibility matters are in the Accessibility Statement. The Restaurant is responsible for the accessibility of its own Content (in particular, for meaningful descriptions of photos and the readability of uploaded files).
14. Disclaimer of warranties and limitation of liability
14.1. The Service is provided "as is" and "as available". To the extent permitted by law, we give no other warranties, express or implied, including warranties of fitness for a particular purpose, accuracy of AI Materials, accuracy of translations, or compatibility with any devices.
14.2. UMAMO is not liable for:
- the content of Restaurant Content and AI Materials after their publication by the Restaurant, including errors in prices, allergens, kashrut and translations;
- food, orders, payment, delivery and any relationship between a Guest and a Restaurant;
- Guest reviews and their consequences;
- notifications that the Restaurant sends to Guests;
- loss of profit, loss of data caused by the Restaurant, reputational damage, or indirect and consequential losses;
- outages caused by third parties, devices and networks beyond our control, or by force majeure.
14.3. UMAMO's aggregate liability to the Restaurant for any claims related to the Terms and the Service, for any period, is limited to the amount actually paid by the Restaurant for the Service during the 6 months preceding the event giving rise to the claim, and during the trial period — ₪250.
14.4. Nothing in this section limits or excludes liability that cannot be limited or excluded by law, including for willful misconduct, gross negligence, harm to life and health, and mandatory consumer rights. If any provision of this section is held to be unduly disadvantageous under the Standard Contracts Law, 5743-1982, it shall apply to the maximum extent permitted by law rather than being voided in its entirety.
15. Indemnification
The Restaurant undertakes to indemnify UMAMO, its owners, employees and contractors for any damage, expenses and reasonable legal costs arising from third-party claims (including those of Guests, rights holders and supervisory authorities) resulting from the Restaurant Content, its orders, notifications, or its breach of the law or of these Terms — provided that we notify the Restaurant of the claim in a timely manner and give it the opportunity to participate in the defense.
16. Suspension, termination and data after termination
16.1. The Restaurant may close its account at any time — via the dashboard or by e-mail. This is equivalent to cancelling the subscription under Section 7.
16.2. We may suspend an account, after prior warning and giving at least 7 days to remedy the issue, in the event of non-payment (clause 6.7), a breach of Sections 8, 10 or 11, or at the request of a competent authority. Without warning — in the event of a serious breach that creates a risk to Guests, other Customers or the Service (malicious code, unlawful content, hacking).
16.3. Export. Before the account is closed and for 30 days thereafter, the Restaurant may export its menu in a machine-readable format and in PDF via the dashboard or upon request to office@umamo.app.
16.4. Deletion. 90 days after the account is closed, we delete Restaurant Content and Guest Data from production systems, and from backups within the following 90 days. Only data that we are required to retain by law (accounting and tax records — for the periods established by applicable accounting and tax legislation) and anonymized statistics are retained longer.
16.5. The provisions of Sections 8.2, 12, 14, 15, 16.4 and 18 survive termination of the agreement.
17. Changes to the Terms
17.1. We may amend the Terms. We notify Restaurants of material changes by e-mail and in the dashboard at least 14 days before they take effect, and Guests and Visitors by publishing the new version on the Site with its effective date.
17.2. If the Restaurant does not agree to the changes, it may cancel the subscription before they take effect, with a refund for the unused period. Continued use of the Service after the effective date constitutes acceptance of the new version.
17.3. Changes required by law or that remedy a security vulnerability may take effect immediately, and we will notify you of them at the earliest opportunity.
18. Governing law, jurisdiction, miscellaneous
18.1. The Terms and any disputes related to the Site and the Service are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules — the Service is offered to venues in Israel, and this law applies regardless of where the operator is registered. GDPR provisions that are mandatory for the operator apply in addition and do not diminish the rights granted by Israeli law.
18.2. Exclusive jurisdiction lies with the competent courts of the Tel Aviv-Jaffa district. This does not deprive a consumer of the right to bring proceedings in the courts of their place of residence if the law grants them such a right.
18.3. Before going to court, the parties will try to resolve the dispute through negotiation: write to us at office@umamo.app, and we will respond within 14 days.
18.4. Language. The Terms are published in Hebrew and in translation. In the event of any discrepancy, the Hebrew version prevails.
18.5. Notices. Our notices to the Restaurant are sent to the e-mail address specified in the account and are deemed received on the business day following dispatch. Notices to us should be sent to office@umamo.app or to the postal address in clause 1.1.
18.6. Assignment. The Restaurant may not assign its rights under the Terms without our written consent, except for a transfer together with the venue itself to a new owner, with notice to us. We may assign our rights and obligations under the Terms to a successor in the event of a reorganization or sale of the business, maintaining the level of data protection, and will notify Restaurants accordingly.
18.7. Severability. If any provision of the Terms is held invalid, the remaining provisions remain in force, and the invalid provision is replaced by a valid provision closest to it in meaning.
18.8. Waiver. Our failure to exercise any right under the Terms does not constitute a waiver of that right.
18.9. Entire agreement. The Terms, together with the Privacy Policy, the Refund Policy, the Accessibility Statement and the description of the Plans on the Site, constitute the entire agreement between the parties regarding the Service and supersede all prior arrangements. A separate written agreement with a Customer (for example, for a chain Plan) prevails to the extent that it differs from the Terms.
